My services include drafting and negotiating the terms of a Purchase and Sale Agreement, drafting of hazardous material and environmental agreements, review of Escrow Instructions, contracts of agency, indemnity agreements, property management, leases, evictions and other legal actions, and general legal opinions and analysis on real estate issues; leasing matters related to a variety of commercial, industrial park and residential developments, documented dozens of affordable housing construction and bridge loans. These include tax credit issues, farm worker grants, mobile home parks, subdivisions, mixed use projects, etc. throughout California.

Mr. Pearman has substantial experience with ground leases, as property developer’s counsel and for lenders in drafting necessary amendments to make ground leases financeable. For instance, for Cathay Bank, a major lender on development projects, analyzed ground lease and related documents for the Bank's proposed $12 million loan to finance construction of a Wal-Mart.

Concluded negotiations and documentation on two leases for a Federal Bank. The leases included the bank's new administrative headquarters - a lease value of approximately $2 million, and a relocated branch location with a lease value of approximately $1.5 million.

Mr. Pearman's experience also includes asset sales and REOs, banking and commercial lending, housing and construction, mortgage finance savings and loan associations, public finance, government lenders, receivership and foreclosures, and leasing. He acts as documentation counsel to banks and lenders on commercial loan transactions. Mr. Pearman has documented loans involving construction, refinancing, revolving lines with personal and real property security, WSJ Prime Rate indexed, London Interbank Offered Rate (LIBOR) based offered rates, Floating Rate Note, prepayment penalties, interest rate ceiling caps and multi-bank loan Participation Agreements.

Mr. Pearman provided outside counsel services to Bank of America and the City of Los Angeles on housing construction loans. In that role he drafted and negotiated a variety of documents including: construction loan agreements, disbursements agreements, promissory notes, deeds of trust (including leasehold deeds of trust), multi-lender construction and take-out agreements, estoppel certificates, assignment of tax credits and partnership interest, recording instructions, subordination agreements, and hazardous substance indemnity agreements.
